Full Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement made between you ("Client") and BJA Group Inc ("Company", "we", "us"), concerning your access to and use of our web design and digital services.

1. Scope of Services

BJA Group Inc provides digital design, web development, and technical maintenance. Each project will be governed by a specific Statement of Work (SOW) or the selected service package at the time of purchase.

2. Specific Service Terms

2.1 Project-Based Services (e.g., Website Packages)

All fixed-price website projects are subject to a 50% non-refundable deposit. Work begins only after the deposit is cleared. The final 50% balance is due upon project completion, defined as the moment the site is ready for deployment on the live server. BJA Group Inc reserves the right to withhold administrative access and live deployment until the final balance is paid in full.

2.2 Monthly Technical Support (Retainer)

The $300/month maintenance package includes security updates, backups, and minor content adjustments (not exceeding 2 hours of labor). This is a recurring monthly charge. Failure to pay will result in the immediate suspension of maintenance services and potentially the suspension of hosting if managed by us.

2.3 Design Subscription (10-Hour Block)

The $1,500/month subscription grants the Client 10 hours of design labor.

• No Roll-over: Unused hours at the end of the billing cycle do not carry over to the following month.
• Overages: Any work exceeding the 10-hour limit will be billed at our standard hourly rate of $175/hour, or requires an additional block purchase.

3. Intellectual Property Rights

Upon receipt of full and final payment, BJA Group Inc hereby assigns to the Client all rights, title, and interest in the final visual designs and code specifically created for the project. BJA Group Inc retains ownership of any pre-existing code, proprietary tools, or "know-how" used during the project. We reserve the right to use the completed project in our professional portfolio.

4. Client Content & Responsibilities

Client represents that they own the rights to all text, photos, and branding provided to BJA Group Inc. Client is responsible for final proofreading. BJA Group Inc is not liable for errors or omissions once the Client has given final approval for launch.

5. Revisions and Scope Creep

Fixed-price packages include two (2) rounds of revisions. Significant changes to the project scope after the design has been approved will be treated as additional work and billed accordingly. If the Client remains unresponsive for more than 21 calendar days, the project will be deemed "Abandoned" and the deposit forfeited.

6. Termination & Cancellation

Either party may terminate a monthly retainer or subscription with 30 days' written notice. In the event of termination of a fixed-price project by the Client, the initial 50% deposit remains non-refundable, and any work completed beyond the deposit value will be billed pro-rata.

7. Warranty Disclaimer & Limitation of Liability

Services are provided "as is." BJA Group Inc does not guarantee specific ranking on search engines or specific conversion rates. In no event shall BJA Group Inc be liable for any damages exceeding the total amount paid by the Client for the specific service in question during the 6 months preceding the claim.

8. Governing Law and Venue

These Terms shall be governed by the laws of the State of California. Any legal action shall be brought exclusively in the state or federal courts located in Orange County, California.
